1 General Terms / 1 一般条款

1.1General. These terms and conditions (this “Agreement”, along with privacy policy and any other applicable terms and conditions as shown on our website: [https://www.qbitnetwork.com) are important as they collectively form a legally binding agreement between you, the holder of Qbit Account (the “Client” or “You”), and us, (“Qbit” or “We”), for the use of Qbit Services. In order to use Qbit's services, you shall carefully read and abide by this agreement, especially the clauses involving exemption or limitation of liability, which may be highlighted in bold or underlined. Unless you have read and accepted all the terms of this agreement, you are not allowed to register an Qbit account or use Qbit Services. If you do not agree with any term of this agreement, please do not register or use Qbit services, and you shall immediately stop the registration process. If you have any doubt upon the contents of this agreement (especially the clauses involving exemption or limitation of liability), you may contact us at any time according to the contact information listed in this agreement, and we will further explain the relevant contents based on your request. If you check "I agree/accept Qbit General Terms and Conditions" and use or accept any services of Qbit through registration or any other means, you shall be deemed to have read and agreed to this Agreement and voluntarily accept all contents hereof. Please confirm again that you are aware of and fully understand all contents of this Agreement before you decide to register or use the Services.1.1 一般规定。本通用条款(以下简称“本协议”,连同隐私政策以及我们网站 [https://www.qbitnetwork.com] 所示的任何其他适用条款)非常重要,因为其共同构成您,即 Qbit 账户持有人(以下简称“客户”或“您”)与我们(以下简称“Qbit”或“我们”)之间就使用 Qbit 服务而订立的具有法律约束力的协议。为使用 Qbit 的服务,您应仔细阅读并遵守本协议,尤其是涉及责任豁免或责任限制的条款,该等条款可能以加粗或下划线方式提示。除非您已经阅读并接受本协议的全部条款,否则不得注册 Qbit 账户或使用 Qbit 服务。如您不同意本协议的任何条款,请勿注册或使用 Qbit 服务,并应立即停止注册流程。如您对本协议内容有任何疑问(尤其是涉及责任豁免或责任限制的条款),可随时按照本协议所列联系方式联系我们,我们将根据您的要求进一步解释相关内容。如您勾选“我同意/接受 Qbit 通用条款”,并通过注册或任何其他方式使用或接受 Qbit 的任何服务,则视为您已阅读并同意本协议,并自愿接受本协议的全部内容。请在决定注册或使用服务前,再次确认您已知悉并充分理解本协议的全部内容。1.2 Definitions.1.2 定义。1.2.1 “Qbit Account” means the account registered by Client on Qbit's official website, which is required to access and use the Services provided by Qbit.1.2.1 “Qbit 账户”指客户在 Qbit 官方网站注册的账户,该账户为访问及使用 Qbit 提供的服务所必需。1.2.2 “Access Information” means information that alone or together with other information, can provide access to any portion of the Client’s Qbit Account, including but not limited to the account number, login names, passwords, security questions and their respective answers, and any other similar information.1.2.2 “访问信息”指单独或与其他信息结合可用于访问客户 Qbit 账户任何部分的信息,包括但不限于账号、登录名称、密码、安全问题及其相应答案,以及任何其他类似信息。1.2.3 “Account Administrator” means the individual appointed by the Client to carry out certain activities on behalf of the Client.1.2.3 “账户管理员”指由客户指定代表客户开展若干活动的个人。1.2.4 “AML Laws” shall mean any anti-money laundering, anti-terrorist or economic sanction legislation, regulation or guideline (as amended from time to time) (including, without limitation, the Anti-money Laundering Law of China, Anti-Money Laundering and Counter-Terrorist Financing Ordinance of Hong Kong, the Bank Secrecy Act and the USA PATRIOT Act of the USA, and the European anti-money laundering directives).1.2.4 “反洗钱法律”指任何反洗钱、反恐怖主义或经济制裁相关法律、法规或指引(经不时修订),包括但不限于中国《反洗钱法》、香港《打击洗钱及恐怖分子资金筹集条例》、美国《银行保密法》及《美国爱国者法案》,以及欧盟反洗钱指令。1.2.5 “Business Day(s)” means any day, other than a Saturday, Sunday or any public holidays, on which banks are ordinarily open for business in Hong Kong and USA.1.2.5 “营业日”指除星期六、星期日或任何公众假期以外,香港及美国银行通常开门营业的任何一天。1.2.6 “Dashboard” means the visualized interface providing the essential information of the Qbit Account, Global Account, and Qbit Card Account of the Client as shown on Qbit’s website.1.2.6 “仪表盘”指在 Qbit 网站上显示客户 Qbit 账户、全球账户及量子卡账户基本信息的可视化界面。1.2.7 “Fees” means the charges payable by the Client to Qbit for using the Qbit Services. The rate of Fees shall be adjusted by Qbit from time to time.1.2.7 “费用”指客户因使用 Qbit 服务而应向 Qbit 支付的收费。费用费率可由 Qbit 不时调整。1.2.8 “Forbidden Industries” means any industries or business activities that Qbit determines, in its sole discretion and from time to time, to be prohibited or restricted in connection with the Services.1.2.8 “禁止行业”指 Qbit 自行酌情并不时认定的、与服务相关的任何被禁止或受限制的行业或商业活动。1.2.9 “Fund(s)” means certain amount of money paid out from or received by Global Account and/or Qbit Card Account (when applicable) on behalf of the Client by Qbit or Service Provider during the provision of Qbit Services.1.2.9 “资金”指在 Qbit 提供 Qbit 服务过程中,由 Qbit 或服务提供商代表客户从全球账户和/或量子卡账户(如适用)支付或接收的一定金额的款项。1.2.10 “Inbound Payment” means the payment made by Payer(s) into the Client’s Global Account.1.2.10 “入账付款”指付款人向客户全球账户作出的付款。1.2.11 “Outbound Payment Order” means the order of payment from Global Account to other accounts designated by the Client given by the Client to Qbit under Section 3.7.1.2.11 “出账付款指令”指客户根据第 3.7 条向 Qbit 发出的、从全球账户向客户指定的其他账户付款的指令。1.2.12 “Payee” means the Person designated by the Client to receive payment under a Payment Order. The Payee may be the Client itself (with other bank account under the Client’s own name) or third-party beneficiaries with whom the Client has a business relationship.1.2.12 “收款人”指客户指定根据付款指令接收款项的人。收款人可以是客户自身(即客户名下的其他银行账户),也可以是与客户存在业务关系的第三方受益人。1.2.13 “Payer” means the Person making payments to the Global Account of the Client under certain business relationship with the Client (such as purchasing the goods or services).1.2.13 “付款人”指与客户存在特定业务关系(例如购买商品或服务)并向客户全球账户付款的人。1.2.14 “Person” means any individual, sole proprietorship, partnership, limited partnership, limited liability company, firm, joint venture, estate, trust, unincorporated organization, association, corporation, institution, public benefit corporation, entity or governmental or regulatory authority or other enterprise or entity of any kind or nature.1.2.14 “人”指任何个人、独资经营者、合伙企业、有限合伙企业、有限责任公司、商号、合资企业、遗产、信托、非法人组织、协会、公司、机构、公益法人、实体或政府/监管机构,或任何类型或性质的其他企业或实体。1.2.15 “Sanction Laws” means laws and executive orders of the PRC, USA, the United Nations, the European Union, or the United Kingdom imposing economic or financial sanctions or trade embargoes, and regulations implementing such laws and executive orders.1.2.15 “制裁法律”指中华人民共和国、美国、联合国、欧盟或英国实施经济或金融制裁或贸易禁运的法律及行政命令,以及实施该等法律及行政命令的法规。1.2.16 “Service Provider” means certain third-party services providers from time to time used by Qbit in the course of provision of the Qbit Services including, without limitation, banks, payment service providers, clearing networks and other third party payment processing services.1.2.16 “服务提供商”指 Qbit 在提供 Qbit 服务过程中不时使用的若干第三方服务提供商,包括但不限于银行、支付服务提供商、清算网络及其他第三方支付处理服务机构。1.2.17 “USA” means the United States of America.1.2.17 “美国”指美利坚合众国。1.3 Contracting Entity. Our contracting entity for this Agreement is determined by the service the Client uses as outlined below.1.3 签约实体。本协议项下我们的签约实体根据客户所使用的服务确定如下。1.3.1 If the Client uses any service that must be provided by a Money Service Operator according to Chapter 615 Anti-Money Laundering and Counter-Terrorist Financing Ordinance of Hong Kong, our contracting entity shall be Ailingual Limited, a limited liability company registered in Hong Kong.1.3.1 如客户使用的任何服务根据香港第 615 章《打击洗钱及恐怖分子资金筹集条例》必须由金钱服务经营者提供,则我们的签约实体为 AiLingual Limited,一家在香港注册成立的有限责任公司。1.3.2 If the Client uses any service that must be provided by a Money Services Business, according to 31 Code of Federal Regulations Part 1022 - Rules for Money Services Businesses of the USA, our contracting entity shall be Bytechip LLC, a limited liability company registered in the USA.1.3.2 如客户使用的任何服务根据美国《联邦法规汇编》第 31 编第 1022 部分(适用于货币服务业务的规则)必须由货币服务业务提供,则我们的签约实体为 Bytechip LLC,一家在美国注册成立的有限责任公司。

2 Your Account / 2 您的账户

2.1 The Client may register for an Qbit Account before we provide the Client with any Qbit Service. The Services may include some or all of the following services, which may change from time to time: Inbound Payment Services, Outbound Payment Services, Qbit Card and any additional services that are made available by Qbit from time to time (“Qbit Services”). In addition, in relation to the Qbit Service, the Client may be subject to additional specific terms and conditions applicable to the relevant Service.2.1 在我们向客户提供任何 Qbit 服务之前,客户可注册 Qbit 账户。服务可包括以下部分或全部服务,且该等服务可能不时发生变化:入账付款服务、出账付款服务、量子卡,以及 Qbit 不时提供的任何其他服务(统称“Qbit 服务”)。此外,客户在使用 Qbit 服务时,可能还须遵守适用于相关服务的额外具体条款。2.2 The Qbit Services do not offer any feature or benefit of a bank account. We are neither bank nor credit institution, and we are not permitted to pay interest to any Client on fund held on the Qbit Account, Global Account, and/or Qbit Card Account.2.2 Qbit 服务不提供银行账户的任何功能或利益。我们既非银行,亦非信贷机构,且不得就 Qbit 账户、全球账户和/或量子卡账户中持有的资金向任何客户支付利息。2.3 The Client agrees not to conduct any direct communication with any bank that is involved in provision of the Qbit Services unless such communication is approved by us in writing. Any direct contact with a bank or other Payment Provider regarding the Qbit Services may result in immediate termination of the use of the Qbit Services.2.3 客户同意,未经我们书面批准,不得与参与提供 Qbit 服务的任何银行进行任何直接沟通。就 Qbit 服务直接联系银行或其他支付提供商,可能导致客户使用 Qbit 服务的权利被立即终止。2.4 Eligibility.2.4 资格。2.4.1 The Client must be a business firm (including, without limitation, limited liability company, cooperation, partnership, limited partnership, or other legal entities) in order to use Qbit Services. The Client shall use Qbit Services solely for business purposes. We reserve the right to require proof of business relationship with the Client and the Payee or Payer (such as invoices, purchase agreements, or waybills, etc.) For the purposes of trial run, Qbit may allow registration by individual users for a limited time period and with limited service functions.2.4.1 客户必须为商业机构(包括但不限于有限责任公司、公司、合伙企业、有限合伙企业或其他法律实体)方可使用 Qbit 服务。客户仅可将 Qbit 服务用于商业目的。我们保留要求客户证明其与收款人或付款人之间业务关系的权利(例如发票、采购协议、运单等)。出于试运行目的,Qbit 可在有限期限内并在有限服务功能范围内允许个人用户注册。2.4.2 The Client may not register a Qbit Account or use the our services if it is a resident of any jurisdiction in which (i) Qbit or the Service Provider is not authorized to provide the Qbit Services, (ii) any jurisdiction which is sanctioned under Sanction Laws, (iii) where the use of the Qbit Services would be illegal or otherwise violate any applicable law of such jurisdiction or of the PRC or the United States (the “Restricted Jurisdiction”). The Client hereby represents and warrants that it is not a resident of any Restricted Jurisdiction and that it will not register a Qbit Account or use Qbit Services even if our methods to prevent the Client from registering an account or using Qbit Services are not effective or can be bypassed. We may implement controls to restrict access to the Qbit Services from any Restricted Jurisdiction.2.4.2 如客户为任何以下司法管辖区的居民,则不得注册 Qbit 账户或使用我们的服务:(i)Qbit 或服务提供商未获授权提供 Qbit 服务的司法管辖区;(ii)制裁法律项下受制裁的任何司法管辖区;(iii)使用 Qbit 服务将构成违法或以其他方式违反该司法管辖区、中华人民共和国或美国任何适用法律的司法管辖区(统称“受限制司法管辖区”)。客户特此声明并保证其并非任何受限制司法管辖区的居民,并且即使我们防止客户注册账户或使用 Qbit 服务的方法无效或可被绕过,客户亦不会注册 Qbit 账户或使用 Qbit 服务。我们可实施控制措施,以限制从任何受限制司法管辖区访问 Qbit 服务。2.4.3 The Client represents and warrants to us that:2.4.3 客户向我们声明并保证:2.4.3.1 The Client is duly organized, validly existing and in good standing under the Laws of the jurisdiction of its formation.2.4.3.1 客户系根据其成立地司法管辖区法律正式组织、有效存续且状况良好的实体。2.4.3.2 The Client has all requisite power, authority and capacity to enter into this Agreement, and to perform its obligations hereunder. This Agreement will constitute valid and legally binding obligations of the Client, subject, as to enforcement of remedies, to applicable bankruptcy, insolvency, moratorium, reorganization and similar Laws affecting creditors’ rights generally and to general equitable principles.2.4.3.2 客户拥有签署本协议并履行其在本协议项下义务所需的一切权力、授权和能力。本协议将构成客户有效且具有法律约束力的义务,但其救济执行受适用的破产、资不抵债、延期偿付、重组及类似影响债权人权利的一般法律以及一般衡平法原则的限制。2.4.3.3 The Client has all licenses, regulatory approvals, permits and powers legally required to conduct the business in each jurisdiction in which the Client carries on business.2.4.3.3 客户拥有在其开展业务的每一司法管辖区合法经营业务所需的全部牌照、监管批准、许可及权力。2.4.3.4 The Client registers and uses Qbit Services solely for business for its own account not as a nominee or agent.2.4.3.4 客户为其自身账户、仅出于自身业务目的注册并使用 Qbit 服务,而非作为代名人或代理人。2.4.3.5 The Client’s registration and use of Qbit Services is not in violation of any applicable statute, rule, regulation, order or restriction of any domestic or foreign government or any instrumentality or agency thereof in respect of the conduct of its business or the ownership of its properties in any material respect.2.4.3.5 客户注册及使用 Qbit 服务,在任何重大方面均不违反任何国内或外国政府或其任何机构、部门就其业务开展或财产所有权所适用的任何法律、规则、法规、命令或限制。2.4.3.6 The Client has fully provided Qbit with all the information that Qbit has reasonably requested during the registration process and usage of Qbit Services. No representation or warranty by the Client in this Agreement and no information or materials provided by the Client to Qbit in connection with the performance of this Agreement contains or will contain any untrue statement of a material fact or omits or will omit to state any material fact required to be stated therein or necessary in order to make the statements therein, in light of the circumstances in which they are made, not misleading.2.4.3.6 客户已在注册流程及使用 Qbit 服务期间向 Qbit 完整提供 Qbit 合理要求的全部信息。客户在本协议中的任何声明或保证,以及客户就履行本协议向 Qbit 提供的任何信息或材料,均不包含且将不包含任何重大事实的不真实陈述,亦未遗漏且将不会遗漏为使其中陈述在作出时的情形下不具误导性而必须陈述的任何重大事实。2.4.4 If the Client breaches these representations and warranties, Qbit may suspend and/or terminate services to the Client and take reasonable measures to freeze, restrict and/or terminate Client’s Qbit Account,refuse to provide services to the Client.2.4.4 如客户违反上述声明和保证,Qbit 可暂停和/或终止向客户提供服务,并采取合理措施冻结、限制和/或终止客户的 Qbit 账户,拒绝向客户提供服务。2.5 KYC Requirement Client's use of Qbit Services is subject to Qbit’s Know Your Customer and approval processes (collectively, “KYC”). We have the right to request information and documentation prior to Client's use or during Client's use of the Qbit Services including, but not limited to, information and documentation relating to Client's identity or the identity of Client's shareholders, proof of address, proof of ownership, and additional business-related information and documents. Client agree that Qbit may check and verify the information that Client provides as necessary or advisable to validate Client's identity, including through the use of third-party intermediaries or databases. The Client agrees to provide to Qbit, within three (3) days of Qbit’s request, all information required by Qbit for the purpose of complying with its compliance obligations. We shall be entitled to deny Client's use or Client's continued use of the Qbit Services if client fails or refuses to provide the information requested by us under this Section.2.5 KYC 要求。客户使用 Qbit 服务须接受 Qbit 的“了解你的客户”及审批流程(统称“KYC”)。我们有权在客户使用 Qbit 服务之前或使用期间要求客户提供信息和文件,包括但不限于与客户身份或客户股东身份相关的信息和文件、地址证明、所有权证明,以及其他与业务相关的信息和文件。客户同意,Qbit 可在必要或适当时检查并核实客户提供的信息,以验证客户身份,包括通过第三方中介机构或数据库进行核验。客户同意在 Qbit 提出要求后三(3)日内,向 Qbit 提供 Qbit 为履行其合规义务所需的全部信息。如客户未能或拒绝提供我们根据本条要求的信息,我们有权拒绝客户使用或继续使用 Qbit 服务。2.6 AML Requirements. Qbit retains the right not to act and shall not be liable for refusing to act if, due to a lack of information or for any other reason whatsoever, we, in our sole judgment, acting reasonably, determine that such act might cause it to be in noncompliance with any applicable AML Laws. Further, should we, in our sole judgment, acting reasonably, determine at any time that its acting under this Agreement or during the use of Qbit Services by the Client has resulted in its being in non-compliance with any applicable anti-money laundering, anti-terrorist or economic sanction legislation, regulation or guideline, then we shall have the right to cancel the Client’s Qbit Account upon written notice. For the purposes of compliance of the AML Laws, we may not accept Client with registered address or main business address in certain high-risk countries according to AML Laws.2.6 反洗钱要求。若由于信息不足或任何其他原因,我们经合理判断并自行认为相关行为可能导致其不符合任何适用反洗钱法律,则 Qbit 保留不采取行动的权利,且不因拒绝行动承担责任。此外,如我们经合理判断并自行认为,在任何时候我们根据本协议采取行动或客户使用 Qbit 服务已导致我们不符合任何适用的反洗钱、反恐怖主义或经济制裁法律、法规或指引,则我们有权向客户发出书面通知后取消客户的 Qbit 账户。为遵守反洗钱法律,我们可能不接受注册地址或主要营业地址位于根据反洗钱法律认定的某些高风险国家的客户。2.7 Authorization. By registration, the Client irrevocably authorizes Qbit to provide the information of the Client to Service Providers to the extent Qbit decides, on its reasonable discretion, necessary.2.7 授权。通过注册,客户不可撤销地授权 Qbit 在 Qbit 依据其合理酌情判断认为必要的范围内,将客户信息提供给服务提供商。2.8 Right to Reject Registration. Qbit may reject or cancel any ineligible registration application due to compliance reasons.2.8 拒绝注册的权利。Qbit 可因合规原因拒绝或取消任何不符合资格的注册申请。2.9 Account Administrator. The Client may authorize one (1) individual as the Account Administrator. The Account Administrator shall be aged eighteen (18) or over and duly authorized by all necessary and appropriate action to execute this Agreement on behalf of such party and does so with full legal authority. The Account Administrator must be either the Authorised Representative or Director of the Client as shown in written registration information. If the Account Administrator is the Authorised Representative, the Client must provide Qbit with relevant documents requested by Qbit to evidence that such person has been legally authorised by Client to enter into this Agreement on behalf of the Client under applicable law (e.g. an authorisation letter). Qbit will treat all instructions and actions by the Account Administrator acting within the limits of authority as if the Client had given that instruction or carried out that action itself. The Account Administrator shall (i) have access to the Qbit Account, the Dashboard, Global Account, and Qbit Card Account; (ii) make payments into or out of the Global Account and Qbit Card Account; and (iii) apply for, cancel, setup and adjust limits, and administrate otherwise the Qbit Cards according to the Qbit Card Agreement (when applicable). The Account Administrator may appoint multiple Sub-Administrators. The Sub-Administrators shall have the same or part of the functions as the Account Administrator.2.9 账户管理员。客户可授权一(1)名个人担任账户管理员。账户管理员应年满十八(18)周岁,并已获得代表该方签署本协议所需的一切必要和适当授权,且其签署行为具有完全法律授权。账户管理员必须为书面注册信息中所示客户的授权代表或董事。如账户管理员为授权代表,客户必须向 Qbit 提供 Qbit 要求的相关文件,以证明该人士已根据适用法律获客户合法授权代表客户签署本协议(例如授权书)。Qbit 将把账户管理员在授权范围内作出的所有指示和行为视为客户本人作出的指示或行为。账户管理员应有权:(i)访问 Qbit 账户、仪表盘、全球账户及量子卡账户;(ii)向全球账户及量子卡账户付款或从中付款;以及(iii)根据 Qbit 卡协议(如适用)申请、取消、设置和调整限额,并以其他方式管理 Qbit 卡。账户管理员可任命多名子管理员。子管理员应拥有与账户管理员相同或部分相同的功能。2.10 Account Security.2.10 账户安全。2.10.1 The Client acknowledges and agrees that it shall be solely responsible for (i) maintaining the confidentiality and security of the Access Information of the Qbit Account, and (ii) all activities that occur in connection with the Qbit Account, whether initiated by the Client, by others on the Client’s behalf or by any other means.2.10.1 客户确认并同意,其应独自负责:(i)维护 Qbit 账户访问信息的保密性和安全性;以及(ii)与 Qbit 账户相关发生的一切活动,无论该等活动由客户发起、由他人代表客户发起,或通过任何其他方式发起。2.10.2 The Client will notify Qbit immediately of any unauthorized use of the Qbit Account, Access Information or any other actual or potential breach of security.2.10.2 客户将在发生任何未经授权使用 Qbit 账户、访问信息或任何其他实际或潜在安全漏洞时立即通知 Qbit。2.10.3 The Client acknowledges and agrees that Qbit will not be liable for any loss that the Client may incur as a result of any party using the Access Information, either with or without the Client’s knowledge and/or authorization, unless such use occurs as a result of Qbit’s negligence or willful misconduct.2.10.3 客户确认并同意,除非该等使用系因 Qbit 的过失或故意不当行为所致,否则对于任何一方在客户知情和/或授权或不知情和/或未授权情况下使用访问信息而导致客户遭受的任何损失,Qbit 不承担责任。2.10.4 The Client shall at all time keep the Access Information in a secure location, take precautions to prevent others from accessing it and change it when necessary to maintain its confidentiality and security.2.10.4 客户应始终将访问信息保存在安全地点,采取预防措施防止他人访问,并在必要时变更访问信息以维护其保密性和安全性。

3 Global Account. / 3 全球账户

3.1 The Global Account enables the Client to receive Funds in U.S. Dollars, Euros, Hong Kong Dollars. Qbit may, at any time at its sole discretion, enable or disable any currencies.3.1 全球账户使客户能够接收美元、欧元、港元资金。Qbit 可在任何时候自行酌情启用或停用任何币种。3.2 The nature of the Global Account is a series of virtual accounts under the same name as the Client associated with bank account(s) held with certain Service Provider(s) designated by Qbit. The Client may hold funds in different currencies at the same time. The fund held on the Global Account bears no interest.3.2 全球账户的性质为一系列与客户同名、并与 Qbit 指定的若干服务提供商所持银行账户相关联的虚拟账户。客户可同时持有不同币种的资金。全球账户中持有的资金不计息。3.3 Qbit will hold the Funds transferred to Qbit in a designated underlying bank account in its name for the solo purpose of providing the Services. The Funds in this underlying bank account will be comingled and pooled together with those of other users of Services offered by Qbit.3.3 Qbit 将把转入 Qbit 的资金存放于其名下指定的底层银行账户,仅用于提供服务。该底层银行账户中的资金将与 Qbit 服务其他用户的资金混同并集中存放。3.4 Qbit has implemented commercially reasonable administrative and technical measures to protect and safeguard the Funds, including holding the Funds in a designated bank account segregated from Qbit’s corporate funds and the Funds will not be used for its operation expenses or for any other corporate purpose. The Client acknowledges and agrees that it may receive or make payments only after the Service Provider has successfully completed its due diligence review and approved the opening of the relevant bank account.3.5 客户应向 Qbit 和/或服务提供商提供 Qbit 或服务提供商为银行账户准入、合规审查及账户开立之目的所要求的全部信息、文件和材料。客户确认并同意,只有在服务提供商成功完成其尽职调查审查并批准开立相关银行账户后,客户方可收取或发出付款。3.6 Inbound Payment.3.6 入账付款。3.6.1 The Client acknowledges and confirms that the Global Account shall not be deemed as a bank account and the Client is not permitted to carry out any activity that falls outside of the scope of the Qbit Services as provided under this Agreement.3.6.1 客户确认并承认,全球账户不得被视为银行账户,客户不得开展超出本协议项下 Qbit 服务范围的任何活动。3.6.2 Qbit may conduct compliance checks upon inbound payments and reserve the right to request further documents or deny any Payments, in its reasonable discretion, for risk control and regulatory compliance purposes (including without limitation, the AML Laws and Sanction Laws). Any costs and expenses associated with rejected payments shall be borne by the Client, as applicable.3.6.2 Qbit 可对入账付款进行合规检查,并保留基于风险控制及监管合规目的(包括但不限于反洗钱法律和制裁法律),按照其合理酌情判断要求进一步文件或拒绝任何付款的权利。与被拒绝付款相关的任何成本及费用应由客户承担(如适用)。3.6.3 Qbit shall only accept or send Funds via wire transfer networks or other methods acceptable to Qbit. Qbit Services do not support cash, credit card payments or checks for Inbound Payment and Outbound Payment.3.6.3 Qbit 仅接受或发送通过电汇网络或 Qbit 可接受的其他方式进行的资金。Qbit 服务不支持现金、信用卡付款或支票作为入账付款或出账付款方式。3.6.4 The Client acknowledges and confirms that the time required for payments to reach the Global Account shall in no event be under our control. As an illustration only but not otherwise, payments shall typically arrive at the Global Account within one (1) to three (3) Business Days from the date of remittance but no guarantee is provided. While the Client shall directly address any issues or disputes with the Payer if an Inbound Payment is not correctly received, Qbit agrees to use commercially reasonable efforts to assist the Client in resolving such issues, provided that such assistance does not involve resolving disputes directly between the Client and the Payer. Qbit shall not be liable for any failure or delay of Inbound Payments but will offer support within its reasonable capacity to facilitate resolution.3.6.4 客户确认并承认,付款到达全球账户所需时间在任何情况下均不受我们控制。仅作说明而非其他保证,付款通常会自汇款日期起一(1)至三(3)个营业日内到达全球账户,但不作任何保证。如入账付款未能正确收到,客户应直接与付款人处理任何问题或争议;但 Qbit 同意在商业上合理的范围内协助客户解决该等问题,前提是该等协助不涉及直接解决客户与付款人之间的争议。Qbit 不对入账付款的任何失败或延迟承担责任,但将在其合理能力范围内提供支持以促成解决。3.7 Outbound Payment Order.3.7 出账付款指令。3.7.1 The Client may create Payees in advance of Outbound Payment Orders by providing Qbit with full name and bank account details of the Payee (including, without limitation, name and address of the bank, account number, SWIFT Code, etc.). Qbit may conduct background checks on the potential Payees’ information provided by the Client and reserve the right to deny any Payee, in its reasonable discretion, for risk control and regulatory compliance purposes (including without limitation, the AML Laws and Sanction Laws). As an illustration only but not otherwise, payments shall typically arrive at the Payee’s bank account within one (1) to fifteen (15) Business Days from the date of the Payment Order was made but there is no guarantee. If a Payment Order is not received within fifteen (15) Business Days, Qbit may initiate internal investigation on behalf of the Client upon request. Qbit carries out verification checks, and these checks may increase the time it takes to process the Payment Order. Once Qbit finishes the process of such Outbound Payment Order, it cannot be cancelled from the Client’s end.3.7.8 客户可在出账付款指令被 Qbit 处理前取消该指令。一旦 Qbit 完成该出账付款指令的处理,客户端将无法取消。3.8 Currency Exchange.3.8 货币兑换。3.8.1 In the event that (i) the currency of certain Outbound Payment Order placed by the Client is different from the currency held in the Client’s Global Account, or (ii) the currency of certain Inbound Payment received is different from the currency held in the Client’s Global Account, Qbit may convert the currency based on market rate, which is based on foreign-exchange markets. The currency exchange rate will be shown in the Dashboard. Qbit may vary this limit from time to time by notification when certain payment exceeds such limitation.3.9.1 入账付款或出账付款指令可能受最高发送金额限制约束。Qbit 可在某项付款超过该限制时通过通知不时变更该限制。3.9.2 The Client shall be solely liable for the completeness, accuracy, and non-misleading for the information provided by the Client regarding the Payer, Payee, or Outbound Payment Order.3.9.2 客户应独自负责其就付款人、收款人或出账付款指令提供的信息的完整性、准确性及非误导性。3.10 Right to Reject or Delay. Qbit retains the right to reject or delay any service at any time when:3.10 拒绝或延迟的权利。在以下任何情况下,Qbit 保留随时拒绝或延迟任何服务的权利:3.10.1 legal or regulatory requirements prevents such service from being carried out or requests further checks;3.10.1 法律或监管要求阻止该服务执行或要求进一步检查;3.10.2 the Client breaches any provision of this Agreement;3.10.2 客户违反本协议任何条款;3.10.3 Qbit reasonably believes that processing certain instruction would break this Agreement or result in violation of applicable laws and regulations;3.10.3 Qbit 合理认为处理某项指示将违反本协议或导致违反适用法律法规;3.10.4 Qbit reasonably believes that certain instruction is incomplete, inaccurate, or made under coercion;3.10.4 Qbit 合理认为某项指示不完整、不准确或系在胁迫下作出;3.10.5 Qbit reasonably believes that certain instruction is related to Forbidden Industries;3.10.5 Qbit 合理认为某项指示与禁止行业有关;3.10.6 the amount is over any limit that applies to such account;3.10.6 金额超过适用于该账户的任何限额;3.10.7 there is not enough money available in such account to make the payment and cover any charge;3.10.7 该账户中可用资金不足以进行付款并支付任何收费;3.10.8 a bankruptcy order is made against the Client;3.10.8 客户被作出破产令;3.10.9 In the event that the Client has any outstanding financial obligations to Qbit or Qbit intends to exercise right of set-off;3.10.9 客户对 Qbit 存在任何未清偿财务义务,或 Qbit 拟行使抵销权;3.10.10 any specific and essential request by Qbit (such as providing certain important information by the Client) remains pending; or3.10.10 Qbit 的任何具体且必要要求(例如客户提供某些重要信息)仍未完成;或3.10.11 Qbit has suspended the Client’s Qbit Account for any other reasonable cause.3.10.11 Qbit 因任何其他合理原因暂停了客户的 Qbit 账户。

4 Qbit Card. / 4 量子卡

Upon the Client’s further application and acceptance on certain Qbit Card agreement and cardholder agreement, it may also use the Qbit Card Account. The function of the Qbit Card Account shall be subject to such agreements.在客户进一步申请并接受某项 量子卡协议及持卡人协议后,客户亦可使用量子卡账户。量子卡账户的功能应受该等协议约束。

5 Electronic Payments. / 5 电子付款

5.1 Your use of the Service will include your consent and authorization for Qbit to process and originate electronic ACH debits and credits. Qbit’s role in providing the Service is limited to receiving and processing payment instructions from you, the businesses you pay using the Service (“Vendors”), and your customers that use or make payments to you through the Service (“Customers”) to the Bank (the Bank is Qbit’s ODFI).5.1 您使用服务将包括您同意并授权 Qbit 处理及发起电子 ACH 借记和贷记。Qbit 在提供服务中的角色限于接收并处理来自您、您通过服务付款的商户(“供应商”)以及通过服务向您付款或使用服务向您付款的客户(“客户”)向银行(该银行为 Qbit 的 ODFI)发出的付款指示。5.2 ACH Rules.5.2 ACH 规则。5.2.1 Applicable Rules and Law. You agree that all electronic ACH transactions requested or processed in connection with your Qbit account or your use of the Service are subject to this Agreement, the Operating Rules of the National Automated Clearing House Association (“NACHA Rules”), and all other applicable laws, rules and regulations, which may include Uniform Commercial Code Article 4A or Regulation E. We may use commercially reasonable efforts to act on a request by you for cancellation of an entry prior to transmitting it to the ODFI. We will notify you of the receipt of a returned Entry from the ACH Operator no later than one Business Day after the settlement day of such receipt. We will not dishonor any returned Entry unless you provide us such request in writing, together with any relevant information required under the NACHA Rules, and We receive the written request and information within the relevant time frame for dishonoring such entry. If there are insufficient funds in the Payment Account to fund the transaction, your transaction may not be processed. If an ACH debit from your Payment Account to fund a payment made by you through the Service is rejected or returned by your bank for any reason, YOU UNDERSTAND AND AGREE THAT YOU CONTINUE TO BE RESPONSIBLE FOR FUNDING THE PAYMENT AMOUNT AND AGREE PAY THE AMOUNT OF THE RETURNED DEBIT DIRECTLY TO Qbit WITHIN 10 BUSINESS DAYS. You agree that we may resubmit a returned or rejected ACH debit to your Payment Account, in our sole discretion. You agree to pay all penalties, interest charges, late payment fees, service fees, and/or interest related to the rejected or returned funding ACH debit. You certify that your Payment Account is enabled for ACH debits, and agree to reimburse Qbit for all penalties and fees incurred if any funding ACH debit is returned because your Payment account was not properly configured to accept ACH debits. When you use the Accounts Receivable Service, you represent and warrant to Qbit that you have all necessary authorizations and approvals from your Customer forQbit to originate an ACH debit from the Customer’s bank account to fund the full amount of each payment requested. You represent and warrant that your Customer certifies, or you have the authority to certify on behalf of your Customer, that the Customer’s bank account is enabled for ACH payments, and you agree to reimburse Qbit for all penalties and fees incurred if any funding ACH debit is returned because the Customer’s bank account was not properly configured to accept ACH debits. You represent and warrant that your Customer agrees, or you have the authority to agree on behalf of your Customer, that the Customer will not dispute any ACH debit by Qbit that funds a payment made through the Service. If an ACH debit from a Customer’s account to fund a payment requested by you through the Accounts Receivable Service is rejected or reversed for any reason, YOU AUTHORIZE Qbit TO REVERSE THE CORRESPONDING PAYMENT VIA DEBIT FROM YOUR PAYMENT ACCOUNT, OR IF THERE ARE INSUFFICIENT FUNDS IN YOUR PAYMENT ACCOUNT AT THE TIME OF DEBIT, YOU AGREE TO PAY THE AMOUNT OF THE PAYMENT BACK TO Qbit WITHIN TEN (10) BUSINESS DAYS. You represent and warrant that your Customer agrees, or you have the authority to agree on behalf of your Customer, that Qbit may resubmit a rejected or reversed funding debit to the Customer’s account, in Qbit’s sole discretion. When using the Service, you understand and agree that it may take more than sixty (60) days for Qbit to receive notice of the return or reversal of an ACH debit and/or to exercise any rights granted or reserved under this Agreement. You agree at all times to maintain sufficient funds in your Payment Account to satisfy all obligations to Qbit in connection with your Qbit account or your use of the Service, including returns, reversals, and associated fees, and to add funds immediately if Qbit notifies you that your funds are insufficient.5.3.3 退回及维持足够资金。使用服务时,您理解并同意,Qbit 可能需要超过六十(60)日方能收到 ACH 借记退回或撤销通知和/或行使本协议项下授予或保留的任何权利。您同意始终在您的付款账户中维持足够资金,以履行与您的 Qbit 账户或您使用服务相关对 Qbit 的全部义务,包括退回、撤销及相关费用,并在 Qbit 通知您资金不足时立即补足资金。5.3.4 Ownership of Funds Collected for Payment. In the event that Qbitprocesses an ACH debit to fund a payment before Qbit makes the associated bill payment disbursement, the funds collected through the ACH debit will be held in a bank account held for the benefit of the payor. When using the Service, if permitted by your account, your settings and this Agreement, you may choose to pay Vendors or be paid by Customers by electronic ACH payment. ACH payments may not be available for all payments, including but not limited to payments made in international currency. Qbit reserves the right to refuse to make any payment through the ACH Network, for any reason, in Qbit’s sole discretion.付款向供应商付款或由客户向您付款。ACH 付款可能并非适用于所有付款,包括但不限于以国际货币作出的付款。Qbit 保留自行酌情基于任何原因拒绝通过 ACH 网络作出任何付款的权利。5.4.2 Credits to Accounts of Your Vendors. You represent and warrant to Qbit that you have all necessary authorizations and approvals from each Vendor for Qbit to credit the Vendor’s bank account to fund the full amount of each payment requested. You represent and warrant that your Vendor certifies, or you have the authority to certify on behalf of your Vendor, that the Vendor’s bank account is enabled for ACH payments. You agree that Qbit may resubmit a rejected or reversed credit to your Payment Account, in Qbit’s sole discretion. Qbit is not responsible for any penalties, interest charges, late payment fees and service fees related to any rejected, reversed or returned ACH credit, or your breach of this provision.5.4.2 向您供应商账户进行的贷记。您向 Qbit 声明并保证,您已取得每一供应商为 Qbit 向供应商银行账户贷记以为每项请求付款的全额提供资金所需的全部必要授权和批准。您声明并保证,您的供应商证明,或您有权代表您的供应商证明,供应商银行账户已启用 ACH 付款。您同意,Qbit 可自行酌情将被拒绝或撤销的贷记重新提交至您的付款账户。Qbit 不对与任何被拒绝、撤销或退回的 ACH 贷记或您违反本条相关的任何罚金、利息、逾期付款费用和服务费用负责。5.4.3 NACHA Disclosure. Credit given by the RDFI to the Vendor for the ACH credit entry is provisional until the RDFI has received final settlement through a Federal Reserve Bank or otherwise has received payment; and if the RDFI does not receive such payment for the credit entry, the RDFI is entitled to a refund from the Vendor in the amount of the credit to the Vendor’s account, and you will not be considered to have paid the amount of the credit entry to the Vendor. Qbit is not responsible for any penalties, interest charges, late payment fees and service fees related to any ACH credit for which the RDFI does not receive payment for the credit entry.5.4.3 NACHA 披露。RDFI 就 ACH 贷记分录向供应商给予的贷记,在 RDFI 通过联邦储备银行收到最终结算或以其他方式收到付款前均为临时性;如 RDFI 未收到该贷记分录的付款,则 RDFI 有权要求供应商退还贷记至供应商账户的金额,且您不会被视为已向供应商支付该贷记分录金额。对于 RDFI 未收到贷记分录付款的任何 ACH 贷记相关的任何罚金、利息、逾期付款费用和服务费用,Qbit 不承担责任。5.4.4 Credit of Returned or Cancelled Payments. If a payment requested or made through the Service is returned or cancelled, Qbit reserves the right to process an ACH credit in the amount of the payment to your Payment Account or to the Customer’s bank account, less any Service Fees or other amounts owed to Qbit.5.4.4 退回或取消付款的贷记。如通过服务请求或作出的付款被退回或取消,Qbit 保留以付款金额(扣除任何服务费用或应付 Qbit 的其他金额)向您的付款账户或客户银行账户处理 ACH 贷记的权利。

6 Fees. / 6 费用

6.1 The Fee rates of each type of Qbit Services will be shown on the Qbit Dashboard and subject to change and modification from time to time at Qbit's sole discretion. Qbit may adjust the Fees by providing the Client with at least seven (7) days’ prior written notice. If the Client does not agree to the adjusted fees, the Client shall cease using the applicable Services prior to the effective date of such adjusted fees. The Client’s continued use of the applicable Services after the effective date of the adjusted fees shall constitute the Client’s acceptance of such adjusted fees.6.1 各类 Qbit 服务的费用费率将在 Qbit 仪表盘显示,并可由 Qbit 自行酌情不时变更和修改。Qbit 可通过至少提前七(7)日向客户发出书面通知调整费用。如客户不同意经调整费用,客户应在该等经调整费用生效日期前停止使用适用服务。客户在经调整费用生效日期后继续使用适用服务,即构成客户接受该等经调整费用。 6.2 All payments made shall be non-refundable (except as required by applicable law), non-cancellable, and not subject to set-off by the Client.6.2 所有已付款项均不予退还(适用法律要求的除外)、不可取消,且客户不得抵销。6.3 Qbit shall only process the Payment Order upon reception the full transfer amount and Fees from the Client. The Client may pay Qbit by authorizing Qbit to charge the Client via bank transfers or other means acceptable to Qbit. Except for Fees charged by Qbit according to the Fee rates, certain Payment Orders may also be subject to third party fees including, without limitation, charges by the bank of Payee, Buyer, or Platforms. This means the amount received by the Payee or the Client might be less than expected. Qbit shall not be liable for any third-party fees charged.6.4 第三方费用。除 Qbit 根据费用费率收取的费用外,若干付款指令亦可能需承担第三方费用,包括但不限于收款人、买方或平台银行收取的费用。这意味着收款人或客户实际收到的金额可能低于预期。Qbit 不对任何第三方收费承担责任。6.5 Unless otherwise agreed between the Parties, Qbit will deduct the fees from the funds it collects or receives as part of the Services. For certain Services where fees are not automatically deducted, Qbit may issue an invoice through reasonable means as determined by us, which you must pay within fifteen (15) days of receipt.6.5 除非双方另有约定,Qbit 将从其作为服务一部分收取或接收的资金中扣除费用。对于费用未自动扣除的某些服务,Qbit 可通过我们合理确定的方式开具发票,您必须在收到发票后十五(15)日内付款。6.6 Disputed amounts shall be notified to Qbit by email within seven (7) calendar days of Client’s receipt of the invoice, which claim of dispute may concern not only the accuracy of the charge itself, but also any claim of breach of this Agreement that relates to the specific charges in the invoice. Any charges or services not disputed within such seven (7) calendar day window will be deemed to be accepted by Client without dispute.6.6 客户如对金额有争议,应在收到发票后七(7)个日历日内通过电子邮件通知 Qbit,该争议主张不仅可涉及收费本身的准确性,也可涉及与发票中具体收费相关的任何违反本协议的主张。未在该七(7)个日历日窗口内提出争议的任何收费或服务,将被视为客户无争议接受。6.7 Where the Client owes any amounts to Qbit, including but not limited to fees, chargebacks, reversals, refunds, losses, liabilities, fines, penalties, or any other amounts arising out of or in connection with the Services, Qbit may, without prejudice to its other rights or remedies under this Agreement: (ⅰ) charge interest on overdue sums at the rate of one percent (1%) per month, or the maximum rate permitted by applicable law (whichever is higher), accruing daily until paid; (ⅱ) withhold, freeze, reserve, or restrict access to any funds held in the Client’s account(s); (ⅲ) suspend or restrict the Client’s ability to withdraw, transfer, or otherwise dispose of funds from the account(s); and/or(ⅳ) suspend or reduce the Client’s access to the Services, until all overdue amounts (including interest, if any) are settled.6.7 如客户欠付 Qbit 任何款项,包括但不限于费用、拒付(chargebacks)、撤销交易(reversals)、退款(refunds)、损失、责任、罚款、处罚或因服务产生或与服务相关的任何其他应付款项,Qbit 在不影响其根据本协议享有的其他权利或救济的情况下,有权:(i) 对逾期未付款项按每月百分之一(1%)或适用法律允许的最高利率(以较高者为准)计收利息,并按日累计直至全部付清;(ii) 扣留、冻结、预留或限制客户账户中持有的资金;(iii) 暂停或限制客户从账户中提取、转移或以其他方式处分资金的能力;及/或(iv) 暂停或减少客户对服务的访问权限,直至所有逾期款项(包括任何利息)全部结清。6.8 Set off.6.8 抵销。6.8.1 If the Client owes any amounts to Qbit for any reason, Qbit shall have the right, without prior notice, to deduct or set off such amounts against any funds held in any account of the Client with Qbit, including but not limited to any Qbit Account, Qbit Card Account or any other account (together, the “Account”).6.8.1 如客户因任何原因欠付 Qbit 任何金额,Qbit 有权在不事先通知的情况下,从客户在 Qbit 处持有的任何账户中的任何资金中扣除或抵销该等金额,包括但不限于任何 Qbit 账户、Qbit 量子卡账户或任何其他账户(统称“账户”)。6.8.2 If the funds held in the Client’s Account are insufficient to satisfy such amounts, Qbit may set off such outstanding amounts against any sums payable by Qbit to the Client, whether present or future.6.8.2 如客户账户中持有的资金不足以清偿该等金额,Qbit 可将该等未清偿金额与 Qbit 应向客户支付的任何款项进行抵销,无论该等款项为现有或未来款项。6.8.3 If the Client maintains balances in multiple currencies, Qbit may effect such set-off across different currencies and perform any necessary currency conversion at the exchange rate applied by Qbit at the relevant time.6.8.3 如客户持有多币种余额,Qbit 可跨不同币种实施该等抵销,并可按 Qbit 在相关时间适用的汇率进行任何必要的货币兑换。6.8.4 Without prejudice to any other rights or remedies, Qbit further reserves the right to suspend, limit or reduce any Services provided to the Client until all outstanding amounts are fully settled.6.8.4 在不影响任何其他权利或救济的情况下,Qbit 进一步保留暂停、限制或减少向客户提供任何服务的权利,直至所有未清偿金额全部结清。6.9 The Client shall be fully responsible for any negative balance, liability, or amount owed arising from or in connection with any its downstream customers if Client integrates Qbit's APIs into its own application to offer certain financial services to its customers.6.9 如客户将 Qbit 的 API 集成至其自身应用程序中,以向其客户提供若干金融服务,则客户应对其任何下游客户产生或相关的任何负余额、责任或欠付金额承担全部责任。6.9.1 Where the Service is accessed under the MoR Model, all negative balances shall be directly recovered from the Client’s Master Merchant Account. If insufficient, Qbit may suspend or withhold any cashback, rebate, or other incentives payable to the Client and/or set off such amounts against them.6.9.1 如服务在 MoR 模式下访问,所有负余额应直接从客户的主商户账户中追回。如金额不足,Qbit 可暂停或扣留应付客户的任何返现、返利或其他激励款项,和/或与该等款项进行抵销。6.9.2 Where the Service is accessed under the Gateway Model, Qbit shall first recover from the relevant sub-account. If insufficient, Qbit may restrict or freeze such sub-account and recover the outstanding amount from the Client’s Master Merchant Account. If the Master Merchant Account is insufficient, Qbit may suspend and/or set off any cashback, rebate, or incentives payable to the Client.6.9.2 如服务在Gateway模式下访问,Qbit 应首先从相关子账户追回。如金额不足,Qbit 可限制或冻结该子账户,并从客户的主商户账户追回未清偿金额。如主商户账户金额不足,Qbit 可暂停和/或抵销应付客户的任何返现、返利或激励款项。6.9.3 Where the Service is accessed under the Distributor Model, recovery shall follow the order of Sub-account → Master account → Distributor account. The Client shall remain fully liable for any shortfall.6.9.3 如服务在Distributor模式下访问,追偿顺序应为子账户 → 主账户 → Distributor账户。客户仍应对任何差额承担全部责任。6.9.4 Qbit may suspend, restrict, or terminate the account at the level where the outstanding amount remains. Qbit may deduct or set off any outstanding amounts from any funds, settlements,rebates, and may require the Client to promptly fund any shortfall. If any Customer or downstream customer brings any claim against Qbit in connection with any set-off or deduction under this Agreement, the Client shall, at its own expense, defend such claim and indemnify and hold harmless Qbit from all losses, liabilities, and expenses.6.9.4 Qbit 可暂停、限制或终止未清偿金额所在层级的账户。Qbit 可从任何资金、结算款、返利中扣除或抵销任何未清偿金额,并可要求客户迅速补足任何差额。如任何客户或下游客户就本协议项下任何抵销或扣除向 Qbit 提出任何索赔,客户应自行承担费用为该索赔进行抗辩,并赔偿 Qbit 及使其免受所有损失、责任和费用。

7 Relationship with Service Providers. / 7 与服务提供商的关系

7.1 The Client acknowledges that Service Providers do not have any contractual relationship with the Client and owe no duty of care to the Client by reason of the use of Qbit Services. The Client has no right in any bank account which the Qbit Service relate to.7.1 客户确认,服务提供商与客户不存在任何合同关系,且不因使用 Qbit 服务而对客户负有注意义务。客户对 Qbit 服务所涉及的任何银行账户不享有任何权利。7.2 Any payment instruction or representation related to Qbit Services and/or the Global Account shall be made strictly in accordance with, and limited to this Agreement. In particular, the Client shall not represent to its payers or any other person that such bank account belongs to the Client.7.2 任何与 Qbit 服务和/或全球账户相关的付款指示或陈述,均应严格按照并限于本协议作出。特别是,客户不得向其付款人或任何其他人表示该银行账户属于客户。7.3 In any event that the Client instructs any payment other than as provided in this Agreement, the Client does so at its own risk and Qbit shall not be liable for any consequences thereof.7.3 如客户发出本协议规定以外的任何付款指示,客户自行承担风险,Qbit 不对其任何后果承担责任。

8 Termination. / 8 终止

8.1 Client’s Right to Terminate. The Client may at any time terminate this Agreement by giving thirty (30) days’ notice to Qbit.8.1 客户的终止权。客户可随时通过提前三十(30)日通知 Qbit 终止本协议。8.2 Qbit’s Right to Terminate. Qbit may at any time terminate the Client’s use of all or any part of the Qbit Services when:8.2 Qbit 的终止权。在以下情况下,Qbit 可随时终止客户使用全部或任何部分 Qbit 服务:8.2.1 any breaching by the Client of this Agreement or any other agreement between Qbit and the Client;8.2.1 客户违反本协议或 Qbit 与客户之间任何其他协议;8.2.2 the Client publishes, disseminates, or otherwise makes available any marketing, advertising, or public communications that reference or involve Qbit or the Qbit Services without Qbit’s prior written approval.8.2.2 客户未经 Qbit 事先书面批准,发布、传播或以其他方式提供任何引用或涉及 Qbit 或 Qbit 服务的营销、广告或公开传播内容;8.2.3 the Qbit Account is not accessed or used by the Client for more than two (2) years;8.2.3 客户超过两(2)年未访问或使用 Qbit 账户;8.2.4 the Client has provided false, misleading, untrue, incomplete or inaccurate information or have otherwise acted dishonestly;8.2.4 客户提供虚假、误导、不真实、不完整或不准确的信息,或以其他方式存在不诚实行为;8.2.5 the Qbit Account of the Client has been compromised or for other security reasons;8.2.5 客户的 Qbit 账户遭到入侵或存在其他安全原因;8.2.6 the Client engages in Forbidden Industries, fraud, money laundering, terrorist financing or other illegal activities or Qbit reasonably suspect the same;8.2.6 客户从事禁止行业、欺诈、洗钱、恐怖主义融资或其他非法活动,或 Qbit 合理怀疑存在上述情形;8.2.7 Qbit, at its own reasonable discretion,identifies that:8.2.7 Qbit 经其合理酌情判断认定:8.2.7.1 Providing services to Client may result in Qbit potentially violating applicable laws, regulations, and regulatory requirements,or could lead to economic sanctions against Qbit, or could lead to losses incurred by Qbit;8.2.7.1 向客户提供服务可能导致 Qbit 潜在违反适用法律、法规和监管要求,或可能导致 Qbit 受到经济制裁,或可能导致 Qbit 遭受损失;8.2.7.2 Client’s Qbit Account may be subject to unauthorized operations or overstepping of authority;8.2.7.2 客户的 Qbit 账户可能存在未经授权的操作或越权操作;8.2.7.3 Other circumstances or facts that Qbit believes may affect or have already affected Client’s continued use of Qbit services; or8.2.7.3 Qbit 认为可能影响或已经影响客户继续使用 Qbit 服务的其他情形或事实;或8.2.8 there are other grounds that Qbit considers the termination shall be appropriate.8.2.8 Qbit 认为终止为适当的其他理由。8.3 If any of the situations under Section 8.2 occur, in addition to terminating this Agreement, Qbit reserves the right to immediately take one or more of the following emergency measures, including but not limited to:8.3 如发生第 8.2 条项下任何情形,除终止本协议外,Qbit 保留立即采取一项或多项紧急措施的权利,包括但不限于:8.3.1 freezing the balance in Client’s Qbit Account;8.3.1 冻结客户 Qbit 账户中的余额;8.3.2 stopping providing Client with any services;8.3.2 停止向客户提供任何服务;8.3.3 if the payment made by the Payer has been credited to Client’s account, Qbit reserves the right to decide to return the transaction amount at its own discretion. If the relevant transaction amount has been exchanged, (unless Qbit agrees to handle it otherwise) Qbit can reverse the exchanged amount back to the initial source currency and return it to the original outgoing account of the Payer, subject to the exchange rate difference and related bank fees and/or Qbit's corresponding service fee (if any) arising from the settlement funds being exchanged twice, which should be borne by Client;8.3.3 如付款人支付的款项已入账至客户账户,Qbit 保留自行酌情决定退回交易金额的权利。如相关交易金额已被兑换,(除非 Qbit 同意以其他方式处理)Qbit 可将已兑换金额反向兑换回初始来源币种,并退回至付款人的原始付款账户,因结算资金两次兑换产生的汇率差额及相关银行费用和/或 Qbit 相应服务费(如有)应由客户承担;8.3.4 if Client has any outstanding payment obligations with Qbit in any form, Qbit reserves the right to deduct the amount from any of Client’s account balances;8.3.4 如客户以任何形式对 Qbit 存在未清偿付款义务,Qbit 保留从客户任何账户余额中扣除该金额的权利;8.3.5 other appropriate measures as determined by Qbit at its discretion.8.3.5 Qbit 自行酌情认定的其他适当措施。8.4 All provisions of this Agreement which, by its nature, shall remain in force after the termination of the Agreement shall remain in force after the termination, including, but not limited to Indemnification and limitation of liability.8.4 本协议中按其性质应在本协议终止后继续有效的所有条款,在终止后仍继续有效,包括但不限于赔偿及责任限制条款。8.5 Qbit shall be entitled to withhold reasonable fund (the “Withholding Amount”) upon termination of this Agreement for a period up to one hundred and eighty (180) days when there are any Forbidden Industries, Risk Factors (as defined in Qbit Card Agreement, as applicable), or other transactions which Qbit reasonably believes may result in refund or extra charges from Service Provider or third parties (collectively the “Suspicious Transactions”). Qbit shall provide written notice and justification to the Client for any such withholding. Any Withholding Amount must be directly related to the actual potential liability arising from such Suspicious Transactions (including the reasonable estimated risk exposure amount). After fifteen (15) Business Days of the termination of this Agreement, the available balance (less the Withholding Amount, if any) in the Global Account and Qbit Card Account will be refunded to the account to which the last Settlement Order was made. Any remaining Withholding Amount will be promptly released once the potential liability is resolved or no longer applicable.8.5 如存在禁止行业、风险因素(定义见 Qbit量子卡协议,如适用),或 Qbit 合理认为可能导致服务提供商或第三方退款或额外收费的其他交易(统称“可疑交易”),Qbit 有权在本协议终止时扣留合理资金(“扣留金额”),期限最长可达一百八十(180)日。Qbit 应就任何该等扣留向客户提供书面通知及理由。任何扣留金额必须与该等可疑交易产生的实际潜在责任直接相关(包括合理估计的风险敞口金额)。本协议终止后十五(15)个营业日内,全球账户及量子卡账户中的可用余额(扣除任何扣留金额,如有)将退还至最近一次结算指令所对应账户。任何剩余扣留金额将在潜在责任解决或不再适用后及时释放。8.6 Any refund, charge, or other dispute (each a “Dispute After Termination”) between the Client and Service Provider, Payee, Buyer, Platforms, or other third-party shall be the sole responsibility of the Client to resolve. However, Qbit shall notify the Client in writing of any such Dispute After Termination and allow the Client a minimum of thirty (30) days from the date of notice to resolve the dispute. In the event that the Client does not resolve the dispute within thirty (30) days after the termination of this Agreement, Qbit may, at its sole discretion, use the Withholding Amount to settle such Dispute After Termination on behalf of the Client, provided that Qbit shall notify the Client of any such action taken. Within fifteen (15) Business Days following the settlement of all Disputes After Termination, any remaining balance (if any) of the Withholding Amount will be refunded to the account to which the last Settlement Order was made.8.6 客户与服务提供商、收款人、买方、平台或其他第三方之间的任何退款、收费或其他争议(各称“终止后争议”)应由客户独自负责解决。但是,Qbit 应以书面形式通知客户任何该等终止后争议,并给予客户自通知之日起至少三十(30)日解决争议。如客户未能在本协议终止后三十(30)日内解决争议,Qbit 可自行酌情代表客户使用扣留金额解决该终止后争议,但 Qbit 应通知客户其采取的任何该等行动。在所有终止后争议解决后十五(15)个营业日内,扣留金额的任何剩余余额(如有)将退还至最近一次结算指令所对应账户。8.7 In the event that any funds are frozen by a Service Provider or governmental authorities due to anti-money laundering, counter-financing terrorism, or other risk control reasons, such frozen funds shall be deducted from the amount returned to the Client until the issue is resolved. Qbit shall promptly inform the Client of any such freezing of funds and shall use reasonable efforts to assist in resolving the matter in a timely manner. Any unfrozen amounts shall be refunded to the Client once the issue is fully resolved.8.7 如任何资金因反洗钱、反恐怖融资或其他风险控制原因被服务提供商或政府机构冻结,该等被冻结资金应从返还给客户的金额中扣除,直至问题解决。Qbit 应及时通知客户任何该等资金冻结,并应以合理努力协助及时解决该事项。任何解冻金额将在问题完全解决后退还给客户。

9 Intellectual Property. / 9 知识产权

9.1 Qbit owns all rights, title and interest in the trademarks, logos, graphs, source code and other protected intellectual property related to the Qbit Services. The Client may not use such intellectual property without Qbit’s prior written permission.9.1 Qbit 拥有与 Qbit 服务相关的商标、标识、图形、源代码及其他受保护知识产权的全部权利、所有权和权益。未经 Qbit 事先书面许可,客户不得使用该等知识产权。9.2 The Client is authorized to use the Qbit Services only in accordance with this Agreement. The Client shall not directly or indirectly, (i) copy or modify the software or application provided by Qbit, or create derivative works thereof; or (c) attempt to adapt, decipher, reverse translate, decompile, disassemble or otherwise reverse engineer, reconstruct or discover any source code or underlying ideas, algorithms, processes know-how or other related technology of the Qbit Services.9.2 客户仅被授权按照本协议使用 Qbit 服务。客户不得直接或间接:(i)复制或修改 Qbit 提供的软件或应用程序,或创作其衍生作品;或(ii)试图改编、解密、反向翻译、反编译、反汇编,或以其他方式逆向工程、重构或发现 Qbit 服务的任何源代码或底层思想、算法、流程诀窍或其他相关技术。

10 Limitation of Liability. / 10 责任限制

10.1 To the fullest extent permitted by applicable law, under no circumstances will Qbit, its affiliates or Service Providers be liable with respect to any subject matter of this Agreement under any theory of tort, contract, negligence, strict liability or other legal or equitable theory for: lost profits; special, incidental or consequential damages; punitive damages; the cost of procurement for substitute services; for interruption of use or loss or corruption of data; or for any amounts that exceed the fees paid by the Client to Qbit under this Agreement during the twelve (12) month period prior to the cause of action. Qbit shall have no liability for any failure or delay due to matters beyond its reasonable control.10.1 在适用法律允许的最大范围内,无论基于侵权、合同、过失、严格责任或其他法律或衡平法理论,在任何情况下,Qbit、其关联方或服务提供商均不就本协议任何事项承担以下责任:利润损失;特殊、附带或后果性损害;惩罚性损害;采购替代服务的成本;使用中断或数据丢失或损坏;或超过客户在诉因发生前十二(12)个月期间根据本协议向 Qbit 支付费用金额的任何金额。对于超出其合理控制范围事项导致的任何失败或延迟,Qbit 不承担责任。10.2 Payment Orders can only be executed if they comply with regulatory standards. Qbit will not be held liable for any damages which could result from the non-execution or defective execution of any Payment Order where such non-execution or defective execution is due to the fact that the Client provided information which was untrue, inaccurate, incomplete or incorrect.10.2 付款指令只有在符合监管标准的情况下方可执行。如任何付款指令未执行或执行不当是由于客户提供的信息不真实、不准确、不完整或不正确所致,Qbit 不对可能由此产生的任何损害承担责任。10.3 The Client acknowledges that Qbit may provide the Qbit Services using facilities provided by banks, payment service providers, clearing networks and other third-party payment processing services. No commercial agreement exists between the Service Providers and the Client and each of the Service Providers will accordingly have no direct liability to the Client.10.3 客户确认,Qbit 可利用银行、支付服务提供商、清算网络及其他第三方支付处理服务提供的设施提供 Qbit 服务。服务提供商与客户之间不存在商业协议,因此每一服务提供商均不对客户承担直接责任。10.4 Qbit shall not be liable for any underlying sales transactions occurring between the Client and Payer. It is the Client’s responsibility to make payments to or receive payments only from persons or entities related to commercial transactions in compliance with applicable legal obligations. Qbit has no influence on the underlying process of buying or selling goods, and no legal relationship with the Payers, and will not be made liable to or in respect of any Payer or for the underlying products and/or services being sold or bought, nor for the correct completion of any sale or purchase of goods or services. The Client assumes exclusive responsibility for the product and obligations of the Client to Payers, and shall indemnify and hold Qbit harmless from any claim by any of them against Qbit. The sale of counterfeit goods or goods breaching intellectual property rights can also lead to legal action by rights holders and a potential loss of Funds. The Client shall refrain from making any payment if it is in doubt as to the legality of a transaction.10.4 Qbit 不对客户与付款人之间发生的任何基础销售交易承担责任。客户有责任仅向与商业交易相关且符合适用法律义务的个人或实体付款或从其收款。Qbit 对商品买卖的基础过程没有影响力,与付款人没有法律关系,且不会就任何付款人或所售或所购基础产品和/或服务承担责任,也不会就任何商品或服务买卖的正确完成承担责任。客户对其产品及其对付款人的义务承担排他性责任,并应赔偿 Qbit 并使其免受任何付款人针对 Qbit 的索赔。销售假冒商品或侵犯知识产权的商品还可能导致权利人采取法律行动及资金潜在损失。如客户对交易合法性有疑问,应避免作出任何付款。10.5 The Client shall solely be responsible for reporting to all applicable government tax authorities all Funds underlying the use of the Qbit Services and for the payment of any applicable taxes that apply to such payments as well as any other applicable reporting requirements including, but not limited to, any customs or foreign currency controls. Qbit may request the Client to provide proof of payment of taxes as and when it considers necessary and appropriate.10.5 客户应独自负责就使用 Qbit 服务所涉全部资金向所有适用政府税务机关进行申报,并支付适用于该等付款的任何税款以及任何其他适用申报要求,包括但不限于任何海关或外汇管制要求。Qbit 可在其认为必要和适当时要求客户提供纳税证明。10.6 Neither party shall be held liable or considered to have failed under these rules in case of late or non- performance when their cause is related to a force majeure situation.10.6 如延迟履行或不履行的原因与不可抗力情形有关,任何一方均不应被认定承担责任或违反本规则。10.7 Each Party’s liability to the other Party for any loss, cost, claim, injury, liability, or expense, including reasonable attorney’s fees, relating to or arising from any act or omission in its performance of this Agreement, shall be limited to the amount of direct damage actually incurred. In no event shall any Party be liable to the other Parties for any indirect, special, consequential, or punitive damages.10.7 各方就其履行本协议中的任何作为或不作为相关或产生的任何损失、成本、索赔、伤害、责任或费用(包括合理律师费)对另一方承担的责任,应限于实际发生的直接损害金额。任何一方在任何情况下均不对其他方承担任何间接、特殊、后果性或惩罚性损害赔偿责任。10.8 The maximum liability of Qbit under this Agreement (including any and all claims for breach of this Agreement) for any single event shall not exceed 5% of the Fees collected by Qbit from the Client for the twelve (12) months immediately before such event. The aggregate maximum liability of Qbit under this Agreement (including any and all claims for breach of this Agreement) for all events shall not exceed 100% of the Fees collected by Qbit from the Client for the twelve (12) months immediately before such events.10.8 Qbit 在本协议项下(包括任何及所有违反本协议的索赔)因任何单一事件产生的最高责任,不得超过 Qbit 在该事件发生前十二(12)个月内向客户收取费用的 5%。Qbit 在本协议项下(包括任何及所有违反本协议的索赔)因所有事件产生的累计最高责任,不得超过 Qbit 在该等事件发生前十二(12)个月内向客户收取费用的 100%。10.9 All of this Section 10 shall survive termination hereof.10.9 本第 10 条全部内容应在本协议终止后继续有效。

11 Assistance. / 11 协助

Qbit agrees to fully cooperate with the Client in the event of any investigation or inquiry by the bank, card network or any government authorities, including but not limited to timely disclosure of relevant data and information as reasonably requested by Client.在银行、卡组织或任何政府机构进行任何调查或询问时,Qbit 同意与客户充分合作,包括但不限于按客户合理要求及时披露相关数据和信息。

12 Indemnification. / 12 赔偿

The Client shall indemnify Qbit (or its respective directors, officers, employees, agents, representatives and authorized persons) (collectively “Indemnified Persons”) for and keep the Indemnified Persons fully and effectively indemnified against (a) all direct and indirect damages (including, without limitation, accounting, legal and other professional advisors’ fees) incurred by the Indemnified Persons on an indemnity basis in connection with any breach of the terms and conditions herein by the Client and/or the Indemnified Persons’ enforcement thereof; or (b) any claim, proceeding, damages (including, without limitation, accounting, legal and other professional advisors’ fees) that may arise to be incurred by the Indemnified Persons in connection with the provision of any of the Qbit Services, whether or not arising from or in connection with the Client’s improper use of such Qbit Services or any damages to the Indemnified Persons (or their respective assets, computer hardware, devices, facilities or software) as a result of performing such Qbit Services.客户应赔偿 Qbit(或其各自董事、高级管理人员、雇员、代理人、代表及授权人士)(统称“受偿人士”),并使受偿人士就以下事项获得充分且有效的赔偿:(a)受偿人士因客户违反本协议通用条款和/或受偿人士执行该等通用条款而产生的所有直接和间接损害(包括但不限于会计、法律及其他专业顾问费用),按赔偿基础计算;或(b)受偿人士在提供任何 Qbit 服务过程中可能产生或招致的任何索赔、程序、损害(包括但不限于会计、法律及其他专业顾问费用),无论是否因客户不当使用该等 Qbit 服务或因履行该等 Qbit 服务而对受偿人士(或其各自资产、计算机硬件、设备、设施或软件)造成任何损害而产生或与之相关。

13 Governing Law. / 13 管辖法律

To the fullest extent permitted by applicable law, this Agreement shall in all respects be governed by and construed in accordance with the laws of Hong Kong without regard to its principles of conflicts of laws.在适用法律允许的最大范围内,本协议在所有方面均受香港法律管辖并据其解释,但不适用其法律冲突原则。

14 Dispute Resolution. / 14 争议解决

Any dispute arising out of or in connection with this Agreement shall be exclusively submitted to the Hong Kong International Arbitration Centre (“HKIAC”) for arbitration in accordance with the HKIAC Administered Arbitration Rules in force at the time of application for arbitration. There shall be one sole arbitrator selected in accordance with the HKIAC Rules. The arbitration seat shall be in Hong Kong. The language of arbitration shall be English. The award of the arbitration tribunal shall be final and binding upon the disputing parties, and either party may apply to a court of competent jurisdiction for enforcement of such award.因本协议产生或与本协议相关的任何争议,应专属提交香港国际仲裁中心(“HKIAC”),按照申请仲裁时有效的 HKIAC 机构仲裁规则进行仲裁。仲裁庭由一名独任仲裁员组成,并按照 HKIAC 规则选定。仲裁地为香港。仲裁语言为英文。仲裁庭作出的裁决为终局裁决,并对争议各方具有约束力,任一方均可向有管辖权的法院申请执行该裁决。

15 Privacy. / 15 隐私

15.1 Authorization on Use of Data. The Client hereby authorizes Qbit to collect, store, transfer, use information about the Client including the transaction history, the personal information of the Client’s directors, executives, employees, and Payees for the purpose of analyzing and improving the services.15.1 数据使用授权。客户特此授权 Qbit 收集、存储、传输、使用有关客户的信息,包括交易历史、客户董事、高级管理人员、雇员及收款人的个人信息,用于分析和改进服务。15.2 Any activity conducted by Qbit regarding personal information shall be strictly in compliance with the Privacy Policy and all applicable personal data protection laws and regulations.15.2 Qbit 就个人信息开展的任何活动均应严格遵守隐私政策以及所有适用个人数据保护法律法规。15.3 The Client acknowledges and agrees that Qbit reserves the right to access and disclose personal data relating to the Client to third parties to comply with all applicable laws and lawful requests from government and/or other regulatory authorities, and/or to provide services of Qbit or protect Qbit, its customers and other users.15.3 客户确认并同意,Qbit 保留访问及向第三方披露与客户相关个人数据的权利,以遵守所有适用法律及政府和/或其他监管机构的合法请求,和/或提供 Qbit 服务或保护 Qbit、其客户及其他用户。

16 Miscellaneous. / 16 其他事项

16.1 Complaint. The Client may file complaints to Qbit’s customer service center by emailing at support@qbitnetwork.com. 16.1 投诉。客户可通过向 support@qbitnetwork.com 发送电子邮件向 Qbit 客户服务中心提出投诉。16.2 Changes to Agreement. Qbit constantly updates the Qbit Services and the terms of this Agreement. Qbit, at its sole discretion, may amend, revise or update this Agreement. The changes will come into effect immediately. If we make any material changes, Qbit shall notify the Client via email or other means. If the Client disagrees with such changes, then the Client may stop using the Qbit Services. Once the Client continues use of the Qbit Services, it will be subject to the new terms. However, any transaction or dispute that arose before the changes shall be governed by the Agreement that was in place when the dispute arose.16.2 协议变更。Qbit 会持续更新 Qbit 服务及本协议条款。Qbit 可自行酌情修订、修改或更新本协议。变更将立即生效。如我们作出任何重大变更,Qbit 应通过电子邮件或其他方式通知客户。如客户不同意该等变更,则客户可停止使用 Qbit 服务。一旦客户继续使用 Qbit 服务,即受新条款约束。但是,变更前产生的任何交易或争议应受争议产生时有效的协议管辖。16.3 Severability. Should one or several provisions of these general terms and conditions be or become invalid or prove to be unenforceable, this shall not affect the validity of the other provisions. In this case, the contracting parties shall replace the invalid or unenforceable provision by another provision that comes closest to the economically intended purpose. The same applies in the case of a regulatory gap.16.3 可分割性。如本通用条款的一项或数项规定无效、变为无效或被证明不可执行,不影响其他规定的有效性。在此情况下,合同各方应以另一项最接近经济预期目的的规定替代该无效或不可执行规定。如存在监管空白,同样适用。16.4 Disclaimer of Warranties. The Qbit Services shall be provided on an “as is” basis. Qbit and the Service Providers hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither Qbit nor the Service Providers, makes any warranty that the Qbit Services will be error free or that access thereto will be continuous or uninterrupted. The Client understands that it downloads from, or otherwise obtains content or services through, the Qbit Services at its own discretion and risk.16.4 保证免责声明。Qbit 服务按“现状”提供。Qbit 及服务提供商特此否认任何类型的明示或默示保证,包括但不限于适销性、特定用途适用性及不侵权保证。Qbit 或服务提供商均不保证 Qbit 服务不会出错,或其访问将持续或不中断。客户理解,其通过 Qbit 服务下载或以其他方式获取内容或服务,均由客户自行决定并自行承担风险。16.5 Marketing Requirement. The Client shall not publish, disseminate, or otherwise make available any marketing, advertising, or public communications that reference or involve Qbit or the Qbit Services without Qbit’s prior written approval, and the Client shall be solely responsible for and bear all losses, penalties, fines, damages, or liabilities arising out of or in connection with such breach.16.5 营销要求。未经 Qbit 事先书面批准,客户不得发布、传播或以其他方式提供任何引用或涉及 Qbit 或 Qbit 服务的营销、广告或公开传播内容;客户应独自负责并承担因该等违约产生或与之相关的所有损失、处罚、罚款、损害或责任。16.6 Successors and Assigns. Except as otherwise expressly provided herein, the provisions hereof shall inure to the benefit of, and be binding upon, the successors, assigns, heirs, executors and administrators of the parties hereto. This Agreement and the rights and obligations therein may not be assigned by the Client without the written consent of Qbit. This Agreement and the rights and obligations therein may be assigned by Qbit without consent of the Client.16.6 继承人和受让人。除本协议另有明示规定外,本协议条款应使双方的继承人、受让人、继承者、遗嘱执行人及遗产管理人受益并对其具有约束力。未经 Qbit 书面同意,客户不得转让本协议及其中权利义务。Qbit 可在未经客户同意的情况下转让本协议及其中权利义务。16.7 Delays or Omissions. No delay or omission to exercise any right, power or remedy accruing to any party, upon any breach or default of any party hereto under this Agreement, shall impair any such right, power or remedy of such party, nor shall it be construed to be a waiver of any such breach or default, or an acquiescence therein, or of any similar breach of default thereafter occurring; nor shall any waiver of any other breach or default theretofore or thereafter occurring.16.7 延迟或遗漏。任何一方在本协议项下任何一方发生违约或不履约时,延迟或遗漏行使其产生的任何权利、权力或救济,均不应损害该方的任何该等权利、权力或救济,亦不应被解释为对任何该等违约或不履约的放弃或默许,或对其后发生的任何类似违约或不履约的放弃或默许;任何放弃亦不应被解释为对此前或此后发生的任何其他违约或不履约的放弃。16.8 Consent to Electronic Communications. You agree that, upon registration for and/or use of the Services, Qbit may send you newsletters, service communications, and other electronic communications relating to industry insights, market developments, product updates, new features, promotional campaigns, events, and other information relevant to the Services and Qbit ’s business activities. Such communications may be delivered by email, SMS, in-app notification, or other contact details provided by you. You may opt out of receiving marketing or promotional communications at any time by following the unsubscribe instructions included in such communications. However, you acknowledge that Qbit may continue to send you service-related, operational, security, compliance, or account communications where necessary for the provision of the Services or compliance with applicable laws and regulations.16.8 同意电子通信。您同意,在注册和/或使用服务后,Qbit 可向您发送与行业洞察、市场发展、产品更新、新功能、促销活动、活动以及与服务和 Qbit 业务活动相关的其他信息有关的新闻简报、服务通信及其他电子通信。该等通信可通过电子邮件、短信、应用内通知或您提供的其他联系方式发送。您可随时按照该等通信中包含的退订说明选择退出接收营销或推广通信。但是,您确认,在提供服务或遵守适用法律法规所必需的情况下,Qbit 可继续向您发送服务相关、运营、安全、合规或账户通信。16.9 This T&C is executed in both Chinese and English.In case of any inconsistency or ambiguity between the Chinese translation and the English original, the English original shall prevail.16.9 本通用条款为中英文双语版本。如二者有不一致之处,以英文版本为准。
